Labshare Platform Terms of Service

1. Acceptance of Terms

By accessing or using the Labshare platform ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Labshare ("we," "us," or "our").

We may update these Terms from time to time. Your continued use of the Services after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

2. Description of Services

Labshare provides a platform designed for research and clinical laboratories within academic, hospital, and institutional settings. Our Services enable laboratories to:

  • Manage inventory items, supplies, and consumables
  • Track and coordinate equipment reservations
  • Process and manage order requests
  • Share resources and collaborate with other laboratories within approved networks
  • Manage grants and funding allocations
  • Organize team members and access permissions

3. User Accounts

a. Account Registration

To use the Services, you must create an account using a valid institutional email address. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

b. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

c. Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or any other reason at our sole discretion.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Upload, store, or transmit any Protected Health Information (PHI) as defined by HIPAA
  • Use the Services for any illegal purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Services, other accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload or transmit viruses, malware, or other malicious code
  • Harvest or collect information about other users without their consent
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Services in any manner that could damage, disable, or impair our servers or networks

Important Notice:

The Services are designed for laboratory operations management only. They are NOT designed or certified for storing or processing Protected Health Information (PHI). Users are strictly prohibited from inputting patient data, medical records, or any other PHI into the platform.

5. Intellectual Property

a. Our Intellectual Property

The Services, including all content, features, and functionality (including but not limited to software, code, designs, text, graphics, and logos), are owned by Labshare and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

b. Your Content

You retain ownership of any content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display such content solely for the purpose of providing and improving the Services.

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the collection and use of information as described in our Privacy Policy.

7. Third-Party Services

The Services may integrate with or contain links to third-party services. We are not responsible for the content, accuracy, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LABSHARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO LABSHARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Labshare and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.

12. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Labshare regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
